CenterPoint means CenterPoint Energy, Inc., a Texas corporation and utility holding company, and the indirect parent of the Borrower.
CenterPoint means Vectren Energy Delivery of Ohio, Inc., d/b/a CenterPoint Energy Ohio.

CenterPoint means CenterPoint Energy, Inc., a Texas corporation, and the parent of the Borrower. “Change in Control” means (i) with respect to CenterPoint, the acquisition by any Person or “group” (within the meaning of Rule 13d-5 of the Exchange Act) of beneficial ownership (determined in accordance with Rule 13d-3 of the Exchange Act) of Capital Stock of CenterPoint, the result of which is that such Person or group beneficially owns 50% or more of the aggregate voting power of all then issued and outstanding Capital Stock of CenterPoint (other than such Capital Stock having voting power only by reason of the happening of a contingency which contingency has not yet occurred) or (ii) CenterPoint shall cease to own and control beneficially, directly or indirectly, 100% of the outstanding common Capital Stock of the Borrower free and clear of all Liens (other than Permitted Liens). For purposes of the foregoing, the phrase “voting power” means, with respect to an issuer, the power under ordinary circumstances to vote for the election of members of the board of directors or other governing body of such issuer. “Closing Date” means the date on which the conditions set forth in Section 5.1 are first satisfied (or waived) in accordance with the terms hereof. “Code” means the Internal Revenue Code of 1986, as amended from time to time, and any successor statute.
CenterPoint shall have the meaning provided in the recitals to this Agreement.
CenterPoint means CenterPoint Properties Trust, a Maryland real estate investment trust, its successors by merger or otherwise upon or following a Change in Control and any corporation or other entity that controls such successor corporation or entity and that adopts the Program and at such time agrees to be the successor.
