  • PBE or CELLC may at any time provide Escrow Agent written notice that it has obtained a court order against disbursement of the Escrow Property, accompanied by a certification from counsel of the delivering Party of such court order (“ Restraining Order”).

  • For the avoidance of doubt, Escrow Agent shall only disburse the Escrow Property pursuant to such written instructions from CELLC after the release of funds pursuant to Section 1.3(a), if any.

  • All rights and obligations, if any, by or between PBE, on the one hand, and CELLC, on the other hand, relating to the Leases shall at all times be subject to and governed by the terms of the Leases.

  • In no event shall CELLC be liable for any special, consequential, or incidental damages, including without limitation, loss of profits, revenue, or data, even if apprised of the likelihood of such damages occurring.
