Cash-Out Value definition

Cash-Out Value for a Company Option means an amount, which amount cannot be less than zero, equal to (a) the product of (i) the number of Company Shares for which such Company Option may be exercised and (ii) the 5-Day VWAP of the Company Shares, minus (b) the exercise price of such Company Option.
Cash-Out Value means the amount determined in Clause (i) or (ii), whichever is applicable, as follows: (i) the per Unit price offered to equityholders of the Partnership in any merger or consolidation or (iii) in the event of a reorganization, the Fair Market Value per Unit determined by the Committee as of the date determined by the Committee to be the date of cancellation and surrender of an Award. In the event that the consideration offered to equityholders of the Partnership in any transaction described in this definition consists of anything other than cash, the Committee shall determine the fair cash equivalent of the portion of the consideration offered which is other than cash.
Cash-Out Value means the net aggregate consideration received by the -------------- holders of Common Stock in connection with a Cash-Out Event, after deduction of any transaction costs incurred by or paid by the Company and its stockholders in connection with the Cash-Out Event, including but not limited to any termination, severance or other payments made in connection with the Cash-Out Event in respect of employment, stock appreciation right or similar arrangements with the employees of the Companies.

Cash-Out Value means, with respect to each Holder who makes a Cash-Out Election, (a) so long as the Cash-Out Electors’ Aggregate Equity Allocation does not exceed 20% of the Unsecured Claims Equity Allocation, then one-half the Pre-Money Equity Value assigned to such Holder’s Claims participating in the Cash-Out Election and (b) if the Cash-Out Electors’ Aggregate Equity Allocation exceeds 20%, then one-half the Pre-Money Equity Value assigned to such Claims multiplied by a fraction in which the numerator is 20 and the denominator is the Cash-Out Electors’ Aggregate Equity Allocation.
