Cash Management Arrangement definition

Cash Management Arrangement means any arrangement or agreement to provide cash management products and services, including treasury products, depository products and services, overdrafts, credit or debit cards, merchant card processing exposure, ACH and other electronic funds transfer products, immediate credit facilities on deposited dealer drafts, check guarantee letters and other cash management arrangements.
Cash Management Arrangement means any arrangement pursuant to which any financial institution provides any Loan Party with treasury, depositary or cash management services or automated clearinghouse transfers of funds.
Cash Management Arrangement means with respect to any Person, any obligations of such person in respect of treasury management arrangements including any of the following products, services or facilities: (a) demand deposit or operating account relationships or other cash management services including, without limitation, any services provided in connection with operating, collections, payroll, trust, or other depository or disbursement accounts, zero balance accounts, including automated clearinghouse fund transfer services, e-payable, electronic funds transfer, wire transfer, controlled disbursement, overdraft, depository, information reporting, automated clearinghouse transactions, return items, overdrafts, interstate depository network services, lockbox and stop payment services; and (b) treasury management line of credit, commercial card, merchant card services, purchase or debit cards, including, without limitation, stored value cards and non-card e-payables services.

  • The Customer must ensure its compliance with any tax, accounting or legal limitations, restrictions or procedures it is subject to, and make its own evaluation regarding the legality, merits and appropriateness of participating in a Cash Management Arrangement.

Cash Management Arrangement means any agreement or other arrangement governing the provision of treasury or cash management services, including deposit accounts, overdraft, funds transfer, automated clearinghouse, zero balance accounts, cash pooling (including notional cash pooling), returned check, concentration, controlled disbursement, lockbox, account reconciliation and reporting, trade finance services, commercial credit cards, merchant card services, purchase or debit cards (including non-card e-payables services), and any other deposit or operating account relationships or other treasury, cash management or similar services, and in each case including any associated lines or extensions of credit and related guarantees, collateral, security arrangements and other credit support.
Cash Management Arrangement means with respect to any Person, any obligations of such person in respect of treasury management arrangements including any of the following products, services or facilities: (a) demand deposit or operating account relationships or other cash management services including, without limitation, any services provided in connection with operating, collections, payroll, trust, or other depository or disbursement accounts, including automated clearinghouse fund transfer services, e-payable, electronic funds transfer, wire transfer, controlled disbursement, overdraft, depository, information reporting, automated clearinghouse transactions, return items, overdrafts, interstate depository network services, lockbox and stop payment services; and (b) treasury management line of credit, commercial credit card, merchant card services, purchase or debit cards, including, without limitation, stored value cards and non-card e-payables services.
Cash Management Arrangement means any agreement or arrangement to provide Cash Management Services.
Cash Management Arrangement means any agreement giving rise to Cash Management Obligations. “Cash Management Obligations” means, with respect to any Person, any obligations of such Person in respect of treasury management arrangements (including controlled disbursement, overdraft, automated clearing house fund transfer services, return items and interstate depository network services), commercial credit cards, merchant card services, purchase or debit cards, including non-card e-payables services, and any other demand deposit or operating account relationships or other cash management services, including any treasury management line of credit.
Cash Management Arrangement means any arrangement entered into or to be entered into by the Company or any of its Material Subsidiaries for or in respect of cash management services for the Company and its Material Subsidiaries in the ordinary course of business, including mirror accounting arrangements, account positioning arrangements, pooled accounts, netting arrangements across accounts, centralized operating accounts, automated clearing house transactions, controlled disbursement services, treasury, depository, overdraft and electronic funds transfer services, wire transfers, inter-account transfers, foreign exchange facilities, currency exchange transactions or agreements and options with respect thereto, credit card processing services, credit or debit cards, purchase cards and any indemnity given in connection with any of the foregoing, and in each case any daylight credit which may be associated therewith.
Cash Management Arrangement means any cash management arrangement (a) entered into by (i) any Credit Party (other than the U.S. Borrower) and (ii) any Lender or any Affiliate thereof at the time such cash management arrangement was entered into, as counterparty and (b) which has been designated by such Lender or such Affiliate, by notice to the Administrative Agent and the Borrower no later than thirty (30) days after the execution and delivery of the agreements governing such cash management arrangement, as a Cash Management Arrangement. The designation of any cash management arrangement as a Cash Management Arrangement hereunder shall not create in favor of the Lender or Affiliate thereof that is a party thereto any rights in connection with the management or release of any Collateral or of the Obligations of any Credit Party under any Loan Document. For avoidance of doubt, all cash management arrangements in existence on the Tenth Amendment Effective Date between any Credit Party and any Lender or an Affiliate thereof shall constitute Cash Management Arrangements hereunder.
Cash Management Arrangement means an arrangement satisfactory to Agent in its Permitted Discretion to facilitate the Agent’s ability to establish control of certain foreign Securities Accounts and Deposit Accounts under certain circumstances, which may consist of a notice, in form and substance satisfactory to Agent in its Permitted Discretion, executed and delivered by a Loan Party to the applicable securities intermediary (with respect to a Securities Account) or bank (with respect to a Deposit Account) and acknowledgment from such securities intermediary or bank.
