Cash Injection definition

Cash Injection means bona fide investments in the Borrower that occurs in the form of subscription of new shares or other securities, including convertible bonds fully subordinated to the Credit;
Cash Injection means the Initial Cash Injection and/or the Subsequent Cash Injection, as applicable.

  • If the Sellers miss that deadline for providing the Payment Notice, the obligation of the Purchaser to provide a Conflict Cash Injection for the relevant 6 months period ceases.

  • Ideally, the Company will achieve break even (on a cash basis) as forecasted in the Budget, and in such case there will be no further Additional Cash Injections (or Conflict Cash Injection) as the Company can finance then its operations by using own cash.

  • The Steering Committee shall further determine the amount of the relevant Additional Cash Injection, which will not be higher than EUR 500.000 per any 6 months period.

  • The same shall apply to debts that (i) the Purchaser forces the Company to take outside the commercial needs of the Company, or (ii) that are caused by the corporate structuring of the Cash Injection 1, the Cash Injection 2 or an Additional Cash Injection or a Conflict Cash Injection (as defined in the SPA) provided to the Company.

  • In the event Buyer fails to deliver Buyer’s First Closing Documents to Seller at First Closing, Buyer agrees to pay a late interest to be calculated at the rate of 20% per annum (5.55% per day) over the sum of the Consideration plus the Cash Injection.

  • The obligations of Bayer to fund its Initial Cash Injection and make its In-Kind Contribution and Arvinas to make its In-Kind Contribution at the Closing are subject to the fulfillment, on or before the Closing, of each of the following conditions, unless otherwise waived.

  • The Cash Injection will be financed by the Group’s internal funds.

  • The consideration for the Capital Increase Agreement, which comprises the Cash Injection and the In-kind Contribution, was determined by the Parties after arm’s length negotiations, taking into account the expected development of the industry, the strategic value of the Target Company’s existing projects, the market leading expertise possessed by the Target Founders and the management and the business prospects of the Target Group.
