Cash Equity Financing definition

Cash Equity Financing means the commitment of the Pledgor, pursuant to the P1 Equity Contribution Agreement, to directly or indirectly make cash contributions to the Borrower up to the Remaining Equity Amount (as defined in the P1 Equity Contribution Agreement).
Cash Equity Financing has the meaning assigned to such term in the recitals hereto.
Cash Equity Financing shall have the meaning provided in Section 6.06.

  • Nothing in this clause (k) shall be deemed a consent to any Cash Equity Financing other than the 2017 1Q Warrants pursuant to the terms of this Tenth Supplemental Indenture.

  • In regards to the first Cash Equity Financing (as defined below) (which shall include the 2017 1Q Warrants if they are issued) completed by the Company after the date hereof but prior to June 23, 2017, the Company shall use at least fifteen percent (15%) of the Net Equity Proceeds from such Cash Equity Financing (as defined below) to redeem a like amount of the outstanding Principal Amount of the Notes no later than three (3) Business Days following the closing of such offering (the “Offering Repayment”).

More Definitions of Cash Equity Financing

Cash Equity Financing means the Company’s issuance of any Equity Interests for cash (including without limitation the 2017 1Q Warrants) other than in connection with the exercise or repricing of options or warrants issued prior to the date hereof. For the avoidance of doubt, the issuance of Equity Interests in exchange for debt or other securities shall not constitute a Cash Equity Financing. Nothing in this clause (k) shall be deemed a consent to any Cash Equity Financing other than the 2017 1Q Warrants pursuant to the terms of this Tenth Supplemental Indenture. The Company’s failure to timely pay the Offering Repayment shall constitute an Event of Default without notice or grace.

  • Equity Financing means the next sale (or series of related sales) by the Company of its Equity Securities to one or more third parties following the date of this instrument from which the Company receives gross proceeds of not less than $1,000,000 cash or cash equivalent (excluding the conversion of any instruments convertible into or exercisable or exchangeable for Capital Stock, such as SAFEs or convertible promissory notes) with the principal purpose of raising capital.

  • Next Equity Financing means the next sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale (or series of related sales)).

  • Cash Equivalents means any of the following types of Investments, to the extent owned by the Borrower or any Restricted Subsidiary:

  • Qualified Equity Financing means the first sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale or series of related sales).

  • Cash and Cash Equivalents means the cash and cash equivalents, including checks, money orders, marketable securities, short-term instruments, negotiable instruments, funds in time and demand deposits or similar accounts on hand, in lock boxes, in financial institutions or elsewhere, together with all accrued but unpaid interest thereon, and all bank, brokerage or other similar accounts.

  • Asset Sales means any sale, transfer, lease, license, sale and leaseback or other disposition of property (including pursuant to a casualty event or condemnation proceeding).

  • Equity Contribution has the meaning assigned to such term in the Recitals to this Agreement.

  • Unrestricted Cash and Cash Equivalents means, with respect to any Person, cash and Cash Equivalents of such Person that are free and clear of all Liens and not subject to any restrictions on the use thereof to pay Indebtedness and other obligations of such Person.

  • Excluded Equity Issuance means (i) any issuance of Equity Interest by a member of the Restricted Group to another member of the Restricted Group, (ii) any issuance of Equity Interests by the Borrower pursuant to an equity incentive or compensation plan or pursuant to a dividend reinvestment or share purchase plan, and (iii) any issuance of Equity Interest in Parent to acquire limited partnership interests in PREIT.

  • Performing Non-Cash Pay Mezzanine Investments means Performing Mezzanine Investments other than Performing Cash Pay Mezzanine Investments.

  • Permitted Acquisition Consideration means in connection with any Permitted Acquisition, the aggregate amount (as valued at the Fair Market Value of such Permitted Acquisition at the time such Permitted Acquisition is made) of, without duplication: (a) the purchase consideration paid or payable in cash for such Permitted Acquisition, whether payable at or prior to the consummation of such Permitted Acquisition or deferred for payment at any future time, whether or not any such future payment is subject to the occurrence of any contingency, and including any and all payments representing the purchase price and any assumptions of Indebtedness and/or Guarantee Obligations, “earn-outs” and other agreements to make any payment the amount of which is, or the terms of payment of which are, in any respect subject to or contingent upon the revenues, income, cash flow or profits (or the like) of any Person or business and (b) the aggregate amount of Indebtedness incurred or assumed in connection with such Permitted Acquisition; provided, in each case, that any such future payment that is subject to a contingency shall be considered Permitted Acquisition Consideration only to the extent of the reserve, if any, required under GAAP (as determined at the time of the consummation of such Permitted Acquisition) to be established in respect thereof for the Borrower or its Restricted Subsidiaries.

  • Asset Sale Proceeds means, with respect to any Asset Sale,
