Cash Balance Transition Date definition

Cash Balance Transition Date means, with respect to any Participant who is accruing a benefit under the Final Average Pay Pension Formula as of December 31, 2011, and continues as an Eligible Employee after such date, whichever of (a) or (b) produces the greater Accrued Benefit for the Participant:

Examples of Cash Balance Transition Date in a sentence

  • A Disabled Vested Participant will be entitled to the Final Average Pay Pension Formula Accrued Benefit described in Section 3.1(b)(i) or Cash Balance Pension Formula Accrued Benefit under Section 3.1(b)(ii) so long as he or she continues to be Disabled until the earlier of (A) his or her death, (B) his or her Benefit Commencement Date, or (C) his or her Cash Balance Transition Date.

  • The Account of a Participant who was an Eligible Employee and participating under the Final Average Pay Pension Formula on December 31, 2011, will be credited for each month beginning after his or her Cash Balance Transition Date during which he or she is an Eligible Employee for all or a portion of such month with an amount (called a “Pay Credit”) equal to 4% of the Compensation paid to him or her during that month.

  • Except in the case of a Prior Plan Account, interest will not be credited prior to a Participant’s Cash Balance Transition Date.

  • For the Participant who has completed at least one but has not completed five whole calendar Years of Benefit Service (through his or her Cash Balance Transition Date), Final Average Compensation is the average of his or her Compensation for the largest number of consecutive whole calendar years of Benefit Service.

  • With respect to any Participant who accrued a benefit under the Final Average Pay Pension Formula prior to January 1, 2012, but who was not accruing a benefit as of December 31, 2011, because he or she was not then an Eligible Employee, and who again becomes an Eligible Employee on or after January 1, 2012, his or her Cash Balance Transition Date is the date he or she ceased to accrue any additional benefit under the Final Average Pay Pension Formula prior to January 1, 2012.

  • The Participant who has a Delayed Retirement Date will receive the monthly benefit amount calculated under Section 3.1(b) on the basis of his or her Final Average Compensation, Years of Benefit Service, and Covered Compensation as of his or her Delayed Retirement Date or Cash Balance Transition Date, if earlier (subject to the minimums set forth in Section 3.2(e)).

  • No additional years shall be added to ten pursuant to the prior sentence for any period after the Participant’s Cash Balance Transition Date.

  • After a Disabled Vested Participant reaches his or her Cash Balance Transition Date, he or she shall be entitled to Pay Credits under Section 3.9 so long as he or she remains eligible under Section 3.5(a)(i).

  • For a Participant who has not completed at least one whole calendar Year of Benefit Service (through his or her Cash Balance Transition Date), Final Average Compensation is the average of his or her Compensation (actual, not annualized) for the largest number of consecutive Years of Benefit Service.

  • Scheduled Final Distribution Date No.: H-1 September 15, 2021 This certifies that Cede & Co. is the registered owner of a beneficial ownership interest in a Trust Fund, including the distributions to be made with respect to the Class H Certificates. The Trust Fund, described more fully below, consists primarily of a pool of Mortgage Loans secured by first liens on commercial, multifamily and manufactured housing properties and held in trust by the Trustee and serviced by the applicable Servicer. The Trust Fund was created, and the Mortgage Loans are to be serviced, pursuant to the Pooling and Servicing Agreement (as defined below). The Holder of this Certificate, by virtue of the acceptance hereof, assents to the terms, provisions and conditions of the Pooling and Servicing Agreement and is bound thereby. Also issued under the Pooling and Servicing Agreement are the Class A-1, Class A-1D, Class A-2, Class A-3, Class A-AB, Class A-4, Class A-5, Class A-1S, Class A-M, Class A-J, Class A-1A, Class XP, Class B, Class C, Class D, Class E, Class F, Class XS, Class G, Class J, Class K, Class L, Class M, Class N, Class O, Class P, Class Q, Class S, Class T, Class R and Class LR Certificates (together with the Class H Certificates, the "Certificates"; the Holders of Certificates issued under the Pooling and Servicing Agreement are collectively referred to herein as "Certificateholders"). This Certificate is issued pursuant to, and in accordance with, the terms of a Pooling and Servicing Agreement dated as of October 1, 2006 (the "Pooling and Servicing Agreement"), by and among Deutsche Mortgage & Asset Receiving Corporation, as Depositor, Capmark Finance Inc., as servicer (the "Capmark Servicer") with respect to all of the Mortgage Loans other than the mortgage loans known as the Ala Moan Portfolio Loan and the Fair Lakes Office Portfolio Loan which are being serviced by Wachovia Bank, National Association (the "Wachovia Servicer" and collectively with the Capmark Servicer, the "Servicers"), J.E. Robert Company, Inc., as specixx xexxxxxx (the "Special Servicer") and LaSalle Bank National Association, as trustee, (the "Trustee") and Paying Agent. To the extent not defined herein, capitalized terms used herein shall have the meanings assigned thereto in the Pooling and Servicing Agreement. The Trustee makes no representation or warranty as to any of the statements contained herein or the validity or sufficiency of the Certificates or the Mortgage Loans and has executed this Certificate in its limited capacity as Trustee under the Pooling and Servicing Agreement. Pursuant to the terms of the Pooling and Servicing Agreement, the Trustee, or the Paying Agent on behalf of the Trustee, will distribute (other than the final distribution on any Certificate), on the tenth day of each month, or if such day is not a Business Day, the Business Day immediately following such day, commencing in November 2006 (each such date, a "Distribution Date") an amount equal to such Person's pro rata share (based on the Percentage Interest represented by this Certificate) of that portion of the aggregate amount of principal and interest then distributable, if any, allocable to the Class H Certificates for such Distribution Date, all as more fully described in the Pooling and Servicing Agreement. Holders of this Certificate may be entitled to Prepayment Premiums and Yield Maintenance Charges as provided in the Pooling and Servicing Agreement. During each Interest Accrual Period (as defined below), interest on the Class H Certificates will be calculated based on a 360-day year consisting of twelve 30-day months on the outstanding Certificate Balance hereof.

  • Service Transfer Date means the date of a Service Transfer;

  • Contract Transition Period means the 90 day transition as defined in Section F of this Contract.

  • Escrow Termination Date has the meaning ascribed to such term in Section 9.12.

  • Allocation Date means, with respect to any Transfer Date, the Business Day which is immediately prior to such Transfer Date.

  • Rated Final Distribution Date The Distribution Date occurring in April 2050.

  • Semi-Annual Distribution Date means the "Distribution Dates" set forth under "Summary of Essential Financial Information--Estimated Distributions--Semi-Annual Distributions" in the Prospectus Part I for a Trust.

  • Allowance transfer deadline means midnight of January 30 or, if January 30 is not a business day, midnight of the first business day thereafter and is the deadline by which allowances may be submitted for recordation in an affected unit’s compliance subaccount for the purposes of meeting the unit’s acid rain emissions limitation requirements for sulfur dioxide for the previous calendar year.

  • Initial Distribution Date means the date occurring as soon as reasonably practicable after the Effective Date when distributions under the Plan shall commence.

  • Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.

  • Income Account Distribution Date means the "Distribution Dates" set forth in the "Essential Information" in the Prospectus.

  • Anticipated Termination Date Any Distribution Date on which it is anticipated that the Trust Fund will be terminated pursuant to Section 9.01(c) of this Agreement.

  • Class C Final Distribution Date means the October 15, 2021 Distribution Date.

  • Transition Period means the period beginning with the Registration Date and ending as of the earlier of: (i) the date of the first annual meeting of stockholders of the Company at which directors are to be elected that occurs after the close of the third calendar year following the calendar year in which the Registration Date occurs; and (ii) the expiration of the “reliance period” under Treasury Regulation Section 1.162-27(f)(2).

  • Premium Termination Date With respect to the Series A Certificates, the scheduled maturity date of the Series A Certificates, with respect to the Series B Certificates, the scheduled maturity date of the Series B Certificates and with respect to the Series C Certificates, the scheduled maturity date of the Series C Certificates.

  • Final Distribution Date The Distribution Date on which the final distribution in respect of the Certificates is made pursuant to Section 9.01.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Purchase Termination Date means the date upon which the Transferor shall cease, for any reason whatsoever, to make purchases of Receivables from the Seller under the Receivables Purchase Agreement or the Receivables Purchase Agreement shall terminate for any reason whatsoever.

  • Plan Termination Date means the date that is ten (10) years after the Effective Date, unless the Plan is earlier terminated by the Board pursuant to Section 15 hereof.

  • Class A-2 Final Distribution Date has the meaning set forth in the Sale and Servicing Agreement.

  • Current Distribution Date means a Distribution Date specified as a reference date for calculating the Expected Distributions with respect to the Certificates of any Trust as of such Distribution Date.

  • Class B Final Distribution Date means the August 16, 2021 Distribution Date.

  • Offering Termination Date means the last day of each March, June, September and December following an Offering Commencement Date, or such other Offering Termination Date established in connection with a Terminating Event.
