The Lessee agrees to pay to the Lessor Trustee, on the Closing Date, an amount equal to the difference between (a) the aggregate of the Advances, minus the Capitalized Transaction Costs, and (b) the principal of and accrued interest on the Existing Trust Certificates and all other amounts owed to the Original Lessor Trustee and the Existing Certificate Purchasers under the Existing Operative Agreements.
