Notwithstanding any other provision to the contrary in any Transaction Document, the Company shall inject substantially all of the Purchase Price into the registered capital of the WFOE (the “WFOE Capital Injection Amount”) or other feasible schemes which are deemed as appropriate for the Company.
To the best of the knowledge, information and belief of the Directors and having made all reasonable enquiries, none of the Shareholders have any material interest in the Capital Injection Agreement and the Transactions.

As the applicable percentage ratios as defined under Rule 14.07 of the Listing Rules in respect of the transactions contemplated under the Capital Injection Agreement exceed 0.1% but are less than 5%, such connected transactions are subject to the reporting and announcement requirements set out in Rules 14A.45 to 14A.47 but exempt from the Independent Shareholders’ approval requirements under Chapter 14A of the Listing Rules.
