Capital Events definition

Capital Events means an Approved Sale or sale, exchange, condemnation (or similar eminent domain taking or disposition outside the ordinary course of business in lieu thereof), destruction by casualty, or other disposition, or financing or refinancing of all or any portion of any of the Properties or any interests in any Subsidiary. Without limiting the generality of the foregoing, Capital Event shall include any transaction with respect to a Permitted Sale Property in which gain or loss is recognized for federal income tax purposes as determined by Tax Decision.
Capital Events means the following events:
Capital Events means any capital reorganization, -------------- recapitalization or any reclassification of the stock of the Corporation (other than a change in par value, or from par value to no par value, or from no par value to par value, or as a result of a stock dividend or subdivision, split-up or combination of shares), or the consolidation or merger of the Corporation with or into another person (other than a consolidation or merger in which the Corporation is the continuing corporation and which does not result in any change in the Common Stock), or the sale or other disposition of all or substantially all of the properties and assets of the Corporation to any person or third party.

  • If the amount withheld was not withheld from the affected Partner’s actual share of Distributable Cash or Capital Events Proceeds, Administrative General Partner on behalf of the Partnership may, after obtaining Approval, (A) require such affected Partner to reimburse the Partnership for such withholding or (B) reduce any subsequent distributions to which such affected Partner is entitled by the amount of such withholding.

  • B (ii) above, Opening Equity Funds, will be adjusted as appropriate for any Capital Events occurring since the previous Calculation Date.

  • For the avoidance of doubt, the bonus issue of warrants to subscribe for Shares, the exercise of such warrants, the conversion of convertible loan stock, and buy backs of Shares are Capital Events; Equity Funds means the Total attributable to Equity Holders, as that term is used in UIL’s financial statements and determined in accordance with UIL’s accounting policies.

  • B (i) above, the High Water Mark, will be adjusted as appropriate for any Capital Events occurring since the establishment of the High Water Mark and to take account of any dividends paid following the establishment of the High Water Mark to the extent not otherwise taken into account when calculating the Adjusted Equity Funds as at the relevant Calculation Date.

  • The value of those Capital Events will be added to (in respect of a capital increase) or deducted from (in respect of a capital reduction) the Opening Equity Funds, such adjustments being increased by the higher of the Real Percentage Yield on the Reference Index and 5 per cent.


More Definitions of Capital Events

Capital Events means the Sale or Refinancing of all or a part of a Project or casualty damage to or condemnation of all or a part of a Project.
Capital Events shall have a meaning correlative to the foregoing; provided, that the granting of an easement that benefits any Mortgaged Property shall not constitute a Capital Event for purposes of this Agreement.
Capital Events as used in this Agreement shall mean any capital event or capital events (including financings, refinancings or sales or joint ventures of assets) closed by the Company or any of its affiliates which results individually or in the aggregate in the Company or its affiliates receiving Net Proceeds from such capital event. The term "Net Proceeds" as used in this Agreement shall mean the gross proceeds from any such Capital Event minus the costs and any repayment of debt relating specifically to, and encumbering the asset or assets involved in, such Capital Event. The term "Diminution Event" as used in this Agreement shall mean any material diminution in (1) the rights, benefits (other than changes applying to employees generally), duties and/or responsibilities of Grantee (including a change of title below Co-President and Chief Investment Officer) or (2) the compensation package for Grantee. Any other initially capitalized terms used in this Agreement which are not defined herein and which are defined in that certain Employment Agreement dated as of September 1, 2000 between Grantee and the Company (the "Employment Agreement") shall have the same meaning as given in such Employment Agreement.
Capital Events shall have the meaning set forth in Section 3.5(a) of this Modification Agreement.
Capital Events shall have the meaning assigned to such term in Section 6.13.
Capital Events means any sale, exchange or other disposition or refinancing of all or any material portion of the Company’s assets (or any assets of any directly or indirectly subsidiary entity which is controlled by the Company and through which any portion of the Business of the Company is conducted from time to time).
Capital Events means a Division I Capital Event and/or a Division II Capital Event.
