Capital Call definition

Capital Call means a call upon all or any of the Investors for payment of all or any portion of their Unfunded Commitments.
Capital Call has the meaning set forth in Section 3.4.
Capital Call means, for any Borrower, a call upon its Investors for payment of all or any portion of their Capital Commitments; “Capital Calls” means all such Capital Calls, collectively.

Examples of Capital Call in a sentence

  • For the purposes of this Section 4.2(i), the Fair Market Value of the Company shall be measured as of the date of the underlying Capital Call Notice.

  • To the extent that any Member has already made any Additional Capital Contribution in connection with the underlying Excess Capital Call, any such amounts shall be promptly returned to such Member.

  • Each Member acknowledges that by declining to make an Additional Capital Contribution pursuant to a Capital Call in the full amount of such Member’s Proportionate Contribution Entitlement, its Company Percentage Interest may be diluted in accordance with the terms of this Section 4.2, without limitation to any other available remedies set forth in this Agreement, unless otherwise agreed by the Members.

  • For the avoidance of doubt, the Board shall be permitted to issue more than one Capital Call Notice on any particular date.

  • Any Member that does not send a notice within the applicable Contribution Option Period shall be deemed to have declined to make any Additional Capital Contribution and declined to issue a Capital Contribution Loan Request pursuant to the Capital Call.
