CapEx Borrowing definition

CapEx Borrowing means a Borrowing consisting of simultaneous CapEx Advances of the same Type made by each CapEx Lender pursuant to Section 2.1(b)(ii) or Converted by each CapEx Lender to CapEx Advances of a different Type pursuant to Section 2.3(b).
CapEx Borrowing means a borrowing consisting of simultaneous Capex Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Lenders pursuant to Section 2.04.

Examples of CapEx Borrowing in a sentence

  • The obligation of each CapEx Lender to make a CapEx Advance on the occasion of each CapEx Borrowing shall be subject to the further conditions precedent set forth in Schedule IV.

  • Until the CapEx Commitment Termination Date, Borrower may borrow under this Section 1.1(c); provided that after giving effect to such CapEx Advance, the CapEx Loan shall not exceed CapEx Borrowing Availability at such time, proforma for any Eligible CapEx Equipment to purchased with such CapEx Advance.

  • Such Second Amendment Amenities CapEx Borrowing shall be funded not later than the expiration of such three- Business Day period unless, within such three-Business Day period, Administrative Agent notifies Borrower in writing that such Second Amendment Amenities CapEx Borrowing does not comply with the terms hereof (together with reasonable detail regarding the basis for such determination).

  • If no election as to the Type of CapEx Borrowing is specified on the CapEx Draw Request, then the requested CapEx Borrowing shall be a CBFR Borrowing.

  • Notwithstanding anything to the contrary herein, an ABR Revolving Borrowing may be in an aggregate amount (i) that is equal to the entire unused balance of the aggregate Revolving Commitments or (ii) that is required to finance the reimbursement of an LC Disbursement as contemplated by Section 2.18(e); provided, further, that, with respect to any Amenities CapEx Borrowing, the minimum borrowing requirement shall be $500,000 and the integral multiple requirements shall not apply.

  • Until the CapEx Commitment Termination Date, Borrower may borrow under this Section 1.1(c); provided that after giving effect to such CapEx Advance, the CapEx Loan shall not exceed CapEx Borrowing Availability at such time, measured on a pro forma basis for any Eligible CapEx Equipment to be purchased with such CapEx Advance, and the other conditions precedent set forth in Sections 2.2 and 2.3 shall have been satisfied.

  • Furthermore, (1) on the CapEx Commitment Termination Date, each Lender’s CapEx Commitment shall be reduced to zero, and (2) with each CapEx Borrowing, each CapEx Lender’s CapEx Commitment shall be reduced by the amount of CapEx Advances funded by such Lender in connection with such CapEx Borrowing.

  • Administrative Agent shall have three (3) Business Days to review each such certificate and the related request for a Second Amendment Amenities CapEx Borrowing.

Related to CapEx Borrowing

  • RFR Borrowing means, as to any Borrowing, the RFR Loans comprising such Borrowing.

  • SOFR Borrowing means, as to any Borrowing, the SOFR Loans comprising such Borrowing.

  • Term B Borrowing means a borrowing consisting of simultaneous Term B Advances of the same Type made by the Term B Lenders.

  • Borrowing means Loans of the same Type, made, converted or continued on the same date and, in the case of Eurodollar Loans, as to which a single Interest Period is in effect.

  • Canadian Borrowing means a Borrowing of Canadian Loans.

  • L/C Borrowing means an extension of credit resulting from a drawing under any Letter of Credit which has not been reimbursed on the date when made or refinanced as a Revolving Credit Borrowing.

  • Revolving Loan Borrowing means a borrowing of a Revolving Loan.

  • Term A Borrowing means a borrowing consisting of simultaneous Term A Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Term A Lenders pursuant to Section 2.01(a).

  • Eurocurrency Revolving Facility Borrowing means a Borrowing comprised of Eurocurrency Revolving Loans.

  • Eurodollar Revolving Borrowing means a Borrowing comprised of Eurodollar Revolving Loans.

  • Revolving Borrowing means a borrowing consisting of simultaneous Revolving Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Revolving Lenders pursuant to Section 2.01(b).

  • Term Borrowing means a borrowing consisting of simultaneous Term Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Term Lenders pursuant to Section 2.01(a).

  • Revolving Facility Borrowing means a Borrowing comprised of Revolving Facility Loans of the same Class.

  • Term SOFR Borrowing means a Borrowing comprised of Term SOFR Loans.

  • Term Loan Borrowing means a borrowing consisting of simultaneous Term Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Term Loan Lenders pursuant to Section 2.01(a).

  • Initial Borrowing means the first Borrowing made pursuant to this Agreement.

  • ABR Revolving Facility Borrowing means a Borrowing comprised of ABR Revolving Loans.

  • Base Rate Borrowing means a Borrowing comprised of Base Rate Loans.

  • Refunding Borrowing means a Committed Borrowing which, after application of the proceeds thereof, results in no net increase in the outstanding principal amount of Committed Loans made by any Bank.

  • Initial Revolving Borrowing means one or more borrowings of Revolving Credit Loans or issuances or deemed issuances of Letters of Credit on the Closing Date as specified in the definition of the term “Permitted Initial Revolving Borrowing.”

  • Eurodollar Rate Borrowing means a Borrowing comprised of Eurodollar Rate Loans.

  • Swingline Borrowing means a borrowing of a Swingline Loan pursuant to Section 2.04.

  • Bid Borrowing means a borrowing consisting of simultaneous Bid Loans of the same Type from each of the Lenders whose offer to make one or more Bid Loans as part of such borrowing has been accepted under the auction bidding procedures described in Section 2.03.

  • Revolving Credit Borrowing means a borrowing consisting of simultaneous Revolving Credit Loans of the same Type and, in the case of Eurodollar Rate Loans, having the same Interest Period made by each of the Revolving Credit Lenders pursuant to Section 2.01(b).

  • LIBOR Borrowing means a Borrowing comprised of LIBOR Loans.

  • Fixed Rate Borrowing means a Borrowing comprised of Fixed Rate Loans.
