CapEx Adjustment Amount definition

CapEx Adjustment Amount means $1 million in cash.
CapEx Adjustment Amount means, as of 12:01 a.m. Eastern Time on the Closing Date and without duplication, an amount (which may be positive or negative) equal to (i) (A) the aggregate amount of Identified CapEx plus (B) the aggregate amount of Agreed CapEx, minus (ii) the aggregate amount of Identified CapEx Shortfall.
CapEx Adjustment Amount means (x) the lesser of (i) $965,000 and (ii) one-half of the amount by which the aggregate amount of capital expenditures related to future sales by the Company and its Subsidiaries to NAPA Autoparts that are included in the CapEx Budget under the row labeled “NAPA Project Total” that are made by the Company or its Subsidiaries prior to the Closing exceeds $2,450,000, minus (y) the amount by which the aggregate amount budgeted for capital expenditures by the Company and its Subsidiaries as set forth on the CapEx Budget (including, for the avoidance of doubt amounts described in clause (x)) for the period from and after March 1, 2006 to the Closing exceeds the actual amount of capital expenditures by the Company and its Subsidiaries for such period (provided, however for the purposes of calculating the CapEx Adjustment Amount, in no event shall clause (y) be less than zero). In calculating the CapEx Adjustment Amount, in the event that the Closing occurs on a date that is prior to the last Business Day of any calendar month, the budgeted capital expenditures for such month shall be pro rated based on the total number of Business Days in such month that have elapsed.

Buyer shall be allowed to review such supplement and to the extent that Buyer has reasonable comments to such supplement, Seller and Buyer agree to work together in good faith to appropriately modify such supplement, which supplement as modified will be used for the purposes of this Agreement. Notwithstanding any provision in this Agreement to the contrary, if the absolute value of the Capex Adjustment Amount calculated in accordance with the prior sentence would be less than $50,000, the Capex Adjustment Amount shall be zero. “Authorized Capex” means Capital Expenditures made by the Company or any of its Subsidiaries during the period from November 1, 2011 through the Closing Date with respect to (1) to projects identified in the schedule of Capital Expenditures attached as Exhibit C or (2) projects proposed by the Seller following the Signing Date that are approved by the Buyer in writing (such approval not to be unreasonably withheld).
