CANADIAN FILING means either a Demand Filing to obtain a receipt for a Canadian Prospectus in Canada pursuant to Section 2(a) of this Agreement or a Proposed Filing by Xxxxx to file a Canadian Prospectus under Canadian Securities Laws pursuant to Section 3(a) of this Agreement.

  • Canadian Final Prospectus has the meaning set forth in Section 1(a) hereof.
