CAD Application. If Mark43 does not achieve the Uptime Commitment for the CAD Application, Subscriber will (to the extent legally permitted) be eligible pursuant to the terms of this SLA to receive a credit equal to 10 times the amount paid for the CAD Application in respect of the period in which the actual CAD Downtime for the month exceeded the CAD Downtime allowable within the Uptime Commitment, up to a maximum credit of 25% of one month’s subscription fee paid in consideration for the CAD Application, as illustrated here: CAD Service Credit = (10) * ((1/12) * annual subscription fee) * ((% of Downtime) – (0.05%))

CAD Application means the Corporate Actions Direct software application licensed hereunder by Custodian to be downloaded by Customer that will enable Customer to access and use the CAD System via an Internet connection, a dedicated line or a direct dial-up connection.

• If additional software (CAD Application Software, menus, symbol libraries, etc.) will be required, it must be approved by the NMSU Facilities and Services CAD department prior to its use.

• Any and all registerable and patentable designs relating to the Lung Nodule CAD Application and/or the R2 Product, and the right to apply for protection therefore, shall belong exclusively to R2.
