Buyer’s Operator definition

Buyer’s Operator means the operator(s) of Buyer’s Facilities.
Buyer’s Operator shall have the meaning set forth in Section 11.5.
Buyer’s Operator means Meridian Senior Living, or its assignee.

Examples of Buyer’s Operator in a sentence

  • A list of contacts of the Seller’s Representatives closest to the Buyer’s Operator main base shall be provided to the Buyer or its Operator.

  • The Buyer’s Operator shall provide mutually agreed spare parts as required to support said Aircraft in-flight training and shall provide public liability insurance in line with sub-Clause 16.6. In all cases, the Buyer or the Operator shall bear all expenses such as fuel, oil and landing fees.

  • The provisions of this Section 7.2 shall apply to each DES delivery: (a) In the case of a DES delivery, Seller shall send to Buyer information about the expected quality of the LNG promptly after completion of loading of such LNG, and Seller shall, promptly after Seller has access to the information, send the quantity and quality certificate with respect to the loaded LNG in order for Buyer to inform the Buyer’s Operator.

  • At Closing, Buyer (and, at Buyer’s election, Buyer’s Operator) and Seller shall enter into an escrow agreement (the “Post-Closing Escrow Agreement”) with Escrow Agent pursuant to which Seller shall deposit $300,000 (the “Post-Closing Escrow Deposit”) with Escrow Agent at Closing.

  • With the exception of the REP energy contracts entered into by OpCo Seller at ▇▇▇▇▇ City Health and Rehabilitation and the Broadmoor Medical Lodge and dated July 1, 2015 which shall each be assumed at Closing by Buyer’s Operator for each such Facility, Leases and Contracts affecting the Real Property will be subject to Buyer’s approval or disapproval by written notice to PropCo Seller on or before the expiration of the Due Diligence Period.

  • Buyer or Buyer’s Operator shall pay all costs associated with such applications and shall diligently and persistently in good faith pursue the issuance of the Regulatory Clearances so that the Regulatory Clearances are issued in the shortest period of time permitted by law.

  • Stage Three: Evaluation Digital Population Health Information Tool Reduced need for paper documentation and storage of Nurses health records.

  • OpCo Seller acknowledges and agrees that neither Buyer nor Buyer’s Operator is assuming any of Operators’ obligations to its employees under COBRA or otherwise, except as specifically provided in this Subsection.

  • Buyer’s Operator and Sellers, shall have entered into the OTA in form reasonably acceptable to Buyer’s Operator and Buyer.

  • During the Due Diligence Period, the parties shall agree to a form of short term lease agreement in which Buyer’s Operator subleases each Facility to its current operator (individually and collectively, the “Interim Sublease”).
