Examples of Buyer’s Counsel in a sentence
In connection with the preparation of this Agreement and all other Transaction Documents, the Company, for itself and on behalf of its stockholders, officers, agents, and representatives acknowledges and agrees that Buyer’s Counsel prepared initial drafts of this Agreement and all of the other Transaction Documents and acted as legal counsel to the Buyer only.
Notices to Seller shall be directed to Seller and Seller’s Counsel and notices to Buyer shall be directed to Buyer and Buyer’s Counsel.
All notices to the Escrow Holder shall be sent to Escrow Holder’s Address with a copy to Seller, Seller’s Counsel, Buyer, and Buyer’s Counsel.
On the terms and subject to the conditions contained in this Agreement, the Closing shall take place at the offices of Buyer’s Counsel, Sxxxxxxx Xxxxxxx LLP, 200 X.
Subject to clause 7.1, Completion shall take place at the offices of the Buyer’s Counsel (or such other place as the Buyer and Seller 1 may agree) one (1) Business Day following receipt (or deemed receipt) from the Buyer of the Completion Notice, or on such other date as the Buyer and Seller 1 may agree in writing.
