The Buyer will return all such documents duly executed to the Seller’s Conveyancer within five working days after the engrossment(s) have been submitted to the Buyer’s Conveyancer.
In consideration of the Seller undertaking the Seller’s Obligations, the Buyer undertakes on the date following the date hereof to instruct the Buyer’s Conveyancer to investigate title to the Property, negotiate the draft sale and purchase agreement, raise enquiries of the Seller and any third parties about the Property and do any other work necessary to enable contracts for the Transaction to be exchanged as soon as possible.
Deducing title The Seller’s title to the Property has been deduced to the Buyer’s Conveyancer before the date of this contract.
Subject to clause 5.2 the Seller’s title to the Lease has been deduced to the Buyer’s Conveyancer before the date of this contract.
The Buyer acknowledges that in entering into this contract and any documents annexed to it it does not rely on, and shall have no remedies in respect of, any representation or warranty (whether made innocently or negligently) other than those: set out in this contract or the documents annexed to it; or contained in any written replies that the Seller’s Conveyancer has given to any written enquiries raised by the Buyer’s Conveyancer before the date of this contract.
All Deposit Payments and the Completion Monies shall be paid in cleared funds by same day direct credit from the client account of the Buyer’s Conveyancer to the client account of the Seller's Conveyancer.

On completion, the Seller will deliver to the Buyer a duly completed and signed form UN4 in the form attached at Schedule 7 in respect of entry number C21 and C22 of the Charges Register of the title number WSX254730 together with a written undertaking from the Seller’s Conveyancer to the Buyer’s Conveyancer to use all reasonable endeavours to deal with any requisitions raised by the Land Registry in connection with that application.
Immediately upon receipt from the Land Registry the Seller’s Conveyancer shall issue an official copy of both the Register and Plan to the Buyer’s Conveyancer.
