Buyer and Buyer’s Accountants shall each furnish to the Independent Accountants such work papers and other documents and information relating to the Disputed Amounts, and shall provide interviews and answer questions, as such Independent Accountants may reasonably request.
Buyer shall cause Buyer’s Accountants to perform the Net Working Capital Valuation within 30 days after the Closing Date.

Between the date of this Agreement and the Closing Date, the Company, together with the Sellers, shall cooperate with Buyer and Buyer’s Accountants in their timely preparation of audited, consolidated financial statements of the Company that meet the requirements of Item 9.01(a) of Form 8-K for the period required by Rule 3-05(b) of Regulation S-X promulgated by the Securities and Exchange Commission.
