Buyer Facilities definition

Buyer Facilities shall have the meaning given to such term in the Declaration of Easements Agreement.
Buyer Facilities shall have the meaning set forth in Section 10 hereof.
Buyer Facilities means any real property, leaseholds, or other interests currently owned or operated by Buyer or any of its Subsidiaries and any buildings, plants, structures, or equipment (including motor vehicles) currently owned or operated by Buyer or any of its Subsidiaries.

  • At Buyer’s request and upon ninety (90) days written notice provided by Buyer, Seller shall schedule or accept inter-scheduling coordinator trades from Buyer Facilities, as a Scheduling Coordinator, and directly pass through the benefits of such schedules to Buyer.

  • Unless the Parties agree otherwise, Buyer Facilities shall not displace energy related products or wholesale hedge positions entered into by Seller on behalf of Peninsula Clean Energy Customer Load requirements.

  • Buyer acknowledges that during the course of its use of the Buyer Facilities, it may learn of certain information concerning inventions, trade secrets, proprietary know-how and other proprietary and confidential information of Seller.

  • If a third party requires Contractor to relocate any Buyer Facilities covered by this Schedule, Contractor will notify Buyer as soon as commercially practicable, using best efforts to provide at least 90 days’ advance notice.

  • Seller acknowledges that employees and agents of Buyer may, from time to time, inspect the portion of the Buyer Facilities being used by Seller for compliance with these restrictions or for any other reason.

  • Nothing in this Buyer Facilities License or to be done pursuant to its terms and conditions is intended to, or shall, create a partnership, joint venture or principal-agent relationship, between the parties hereto.


More Definitions of Buyer Facilities

Buyer Facilities means the facilities owned or operated by Buyer which are located on that portion of the Seller Real Estate subject to the easement or right-of-way granted to Buyer by Seller under the Easement Agreement.
Buyer Facilities means the "Parcel B Facilities" and "Parcel D Facilities" under the Astoria Declaration of Easements, together with the respective 11 4 "Buyer Facilities" under each of the Gowanus and Narrows Declaration of Easements Agreements.
Buyer Facilities means the "Buyer Facilities" under the Xxxxxx Kill Declaration of Easements Agreement, together with the "Parcel C Facilities" under the Astoria Declaration of Easements.
Buyer Facilities under the Arthxx Xxxl Declaration of Easements Agreement, together with the "Parcel C Facilities" under the Astoria Declaration of Easements.
Buyer Facilities has the meaning set forth in Section 5.1.
Buyer Facilities means the fiber, conduit, and/or all relevant appurtenances thereto described in the Order.

Related to Buyer Facilities

  • Other Facilities means athletic stadiums, swimming pools, any associated structures or related equipment tied to such facilities including, but not limited to, grandstands and night field lights, greenhouses, facilities used for non-instructional or non-educational purposes, and any structure, building, or facility used solely for school administration;

  • Idle facilities means completely unused facilities that are excess to the governmental unit's current needs.

  • New Facilities means facilities for which, by the cut-off date, neither of the following events has occurred:

  • Railroad facilities means right of way and related

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Wastewater facilities means the structures, equipment, and processes required to collect, carry away, and treat domestic and industrial wastes and dispose of the effluent.

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. Generation Interconnection Customer:

  • Production Facilities (7 9) means "production equipment" and specially designed software therefor integrated into installations for "development" or for one or more phases of "production".

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.

  • City Facilities means City or publicly-owned structures or equipment located within the right of way or public easement used for governmental purposes.

  • Repair facility Means any licensed automotive REPAIR FACILITY capable of performing repair services to a COVERED PART, approved by the ADMINISTRATOR, and at which YOU seek to acquire service under this CONTRACT.

  • Vending facility means automatic vending machines, cafeterias, snack bars, cart service, shelters, counters, and such other appropriate auxiliary equipment which may be operated by licensed managers and which is necessary for the sale of newspapers, periodicals, confections, tobacco products, foods, beverages, and other articles or services dispensed automatically or manually and prepared on or off the premises in accordance with all applicable health laws and including the vending or exchange of chances for any lottery authorized by State Law and conducted by an agency of a State within such State.   • Related facilities means any ancillary facilities owned by the Company which are —

  • Customer Interconnection Facilities means all facilities and equipment owned and/or controlled, operated and maintained by Interconnection Customer on Interconnection Customer’s side of the Point of Interconnection identified in the appropriate appendices to the Interconnection Service Agreement and to the Interconnection Construction Service Agreement, including any modifications, additions, or upgrades made to such facilities and equipment, that are necessary to physically and electrically interconnect the Customer Facility with the Transmission System.

  • Facility Site shall have the meaning set forth in the recitals to the Facility Site Lease.

  • Manufacturing Facilities means facilities engaged in the mechanical or chemical transformation of materials or substances into new products and shall include:

  • Project Facilities means the facilities, equipment and vehicles provided under the Project;

  • Transportation Facilities means any physical facility that moves or assist in the movement of people or goods including facilities identified in OAR 660-012-0020 but excluding electricity, sewage, and water systems.

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Utility Facilities means all personal property and real property owned or controlled by Utility, including Poles.

  • Electrical Interconnection Facilities means the equipment and facilities required to safely and reliably interconnect a Facility to the transmission system of the Transmitting Utility, including the collection system between each Bloom System, transformers and all switching, metering, communications, control and safety equipment, including the facilities described in any applicable Interconnection Agreement.
