Buyer Employee Plan definition

Buyer Employee Plan means any “employee pension benefit plan” (as defined in Section 3(2) of ERISA), any “employee welfare benefit plan” (as defined in Section 3(1) of ERISA), and any other written or oral plan, agreement or arrangement, including insurance coverage, severance benefits, disability benefits, deferred compensation, bonuses, stock options, stock purchase, phantom stock, stock appreciation or other forms of incentive compensation or post-retirement compensation and all unexpired severance agreements, for the benefit of, or relating to, any current or former employee of the Buyer or any of its Subsidiaries or any entity which is a member of (A) a controlled group of corporations (as defined in Section 414(b) of the Code), (B) a group of trades or businesses under common control (as defined in Section 414(c) of the Code) or (C) an affiliated service group (as defined in Section 414(m) of the Code or the regulations under Section 414(o) of the Code), any of which includes or included the Buyer or a Subsidiary of the Buyer.
Buyer Employee Plan means any Employee Benefit Plan for the benefit of, or relating to, any current or former employee of the Buyer or any of its Subsidiaries.
Buyer Employee Plan means any “employee pension benefit plan” (as defined in Section 3(2) of ERISA), “employee welfare benefit plan” (as defined in Section 3(1) of ERISA), and any other formal written plan or policy under which service with the Buyer is relevant to eligibility, vesting and/or level of benefits, for the benefit of, or relating to, the current employees of the Buyer or its Subsidiaries and with respect to which eligibility has not been frozen.

  • Each Buyer Employee Plan that is an “employee pension benefit plan” (as defined in Section 3(2) of ERISA) and which is intended to be qualified under Section 401(a) of the IRC (a “ Buyer Qualified Plan ”) has received a favorable determination letter from the IRS or is subject to a favorable IRS opinion letter, and, to the knowledge of Buyer, there are no circumstances likely to result in revocation of any such favorable determination letter.

Buyer Employee Plan means any “employee pension benefit plan” (as defined in Section 3(2) of ERISA), any “employee welfare benefit plan” (as defined in Section 3(1) of ERISA), and any other written or oral plan, agreement, policy or arrangement, including insurance coverage, severance benefits, disability benefits, vacation pay, material fringe benefits, deferred compensation, bonuses, stock options, stock purchase, phantom stock, stock appreciation or other forms of incentive compensation or post-retirement compensation and all unexpired severance agreements, for the benefit of, or relating to, any current or former employee of the Buyer or any of its Subsidiaries.
Buyer Employee Plan means any “employee pension benefit plan” (as defined in Section 3(2) of ERISA), “employee welfare benefit plan” (as defined in Section 3(1) of ERISA), and any other written or oral plan, agreement or arrangement, including insurance coverage, severance benefits, disability benefits, deferred compensation, bonuses and severance benefits (but excluding equity-based compensation plans and any contract, offer letter or agreement of the Buyer or any of its Subsidiaries with or addressed to an individual), for the benefit of, or relating to, the current employees of the Buyer or its Subsidiaries and with respect to which eligibility has not been frozen.
Buyer Employee Plan means Buyer’s 401(k) plan and each broad-based “employee welfare benefit plan” (as defined in Section 3(1) of ERISA) of the Buyer covering substantially all regular, full-time employees of Buyer.
Buyer Employee Plan is defined in Section 5.3(e)(1).

Notwithstanding the foregoing, the term “Buyer Employee Plan” shall not include any defined benefit pension plan maintained by Buyer.
Buyer Employee Plan has the meaning set forth in Section 6.3(b).
Buyer Employee Plan shall have the meaning set forth in Section 2.13(a).
