Examples of Business Warranties in a sentence
With respect to any Direct Claim and/ or Third Party Claim (an Indemnity Claim) made against the Promoters with respect to Business Warranties in accordance with this Agreement, the Parties hereby agree and confirm that the Indemnified Persons shall assert their rights to claim the Direct Claim Amount and / or the Third Party Claim Amount in accordance with this paragraph 13 of this Schedule.
Unless otherwise stated, the Business Warranties are given as at the Signing Date and the Closing Date.
Each of the contracts listed in Business Warranties Disclosure Exhibit: (i) as far as the Senior Management Sellers are aware, is valid and binding according to its respective terms and conditions applicable to the respective Group Company, (ii) is in effect and has not been terminated, and (iii) no written notice of cancellation, material breach or termination has been received with respect thereto by the relevant Group Company.
Subject to clause14.2 and clause 14.10, the Target agrees with the Bidder (on the Bidder's own behalf and separately as trustee for each of the Bidder Indemnified Parties) to indemnify and keep indemnified the Bidder Indemnified Parties from and against all Losses incurred by the Bidder Indemnified Parties as a result of any breach of any of the Target Business Warranties.
The Target represents and warrants to Bidder (on its own behalf and separately as trustee for each of the Bidder Indemnified Parties) each of the Business Warranties on the date of this Deed and as at the Implementation Date.
