  • The term of this Agreement will commence on the Effective Date and expire at the end of the period specified in the “Term” Section of the Business Terms Exhibit, unless sooner terminated pursuant to the provisions of this Section 9 or extended by mutual written agreement of the parties (the “Term”).

  • If either party breaches in any material respect any of its material obligations under this Agreement, in addition to any other right or remedy, the non-breaching party may terminate this Agreement or a Business Terms Exhibit in the event that the breach is not cured within thirty (30) days after receipt by that party of written notice of the breach.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Standard Terms of Supply means the standard terms and conditions for Call-off Contracts set out in Schedule 5.

  • Master Definitions Schedule means the amended and restated schedule of definitions relating to the Programme originally dated the Programme Effective Date and as most recently amended and restated on 18 December 2020 (as further amended, supplemented and/or replaced from time to time).

For the avoidance of doubt, "Key Terms" does not include details of the calculations or methodologies underlying any term.

  • Addendum/Addenda means a change, or addition, or correction significant enough to be formally made to this RFP. Addenda are posted on the City websites.

  • Terms-of-service agreement means an agreement that controls the relationship between a user and a custodian.

  • Annex A means the Commission’s General Conditions of Contract.

  • Terms of Reference (TORs) means the Terms of Reference that explains the objectives, scope of work, activities, and tasks to be performed, respective responsibilities of the Procuring Entity and the Consultant, and expected results and deliverables of the assignment.

  • Long-term contract means a contract with a duration period exceeding one year;

  • Glossary means this current section of the Agreement.

  • Governance Term Sheet means the Governance Term Sheet attached as Exhibit F to the Restructuring Support Agreement.

  • Service Level Agreement or SLA means the processes, deliverables, key performance indicators and performance standards relating to the Services to be provided by the Service Provider;
