Business Region definition

Business Region means any State in the United States of America in which Company, or any subsidiary, was materially engaged in business at any time during the period of the Executive's active employment by the Company during the Term. The Executive acknowledges that monetary damages would not constitute an adequate remedy for the Company in the event of a breach of this Section 5, and he therefore agrees that the Company shall be entitled to injunctive or equitable relief for the enforcement hereof. This Section 5 shall not, however, apply subsequent to (i) a Change in Control, or (ii)
