Business Personnel definition

Business Personnel means the employees of, and independent contractors providing services to, the Company.
Business Personnel means, as of any date, any person (a) who is, or within the one (1)-year period prior to such date was, an employee of the Company or any subsidiary or affiliate thereof, or (b) who is, or within the one (1)-year period prior to such date was, a consultant or free-xxxxx worker engaged in the Business for or on behalf of the Company or any subsidiary or affiliate thereof.
Business Personnel has the meaning set out in Section (o) of Schedule F.

More Definitions of Business Personnel

Business Personnel means any person (A) who is an employee or Principal Contractor of the Company, or an Affiliate of the Company, on the date of this Agreement and who remains, after Closing, employed or engaged by the Company, or an Affiliate thereof, or becomes employed or engaged by Buyer or an Affiliate of Buyer in connection with the transactions contemplated hereby, or (B) who is an employee or Principal Contractor of Buyer or an Affiliate of Buyer employed or engaged in the Business, or (C) who within nine (9) months prior to the prohibited contact by such Seller was an employee or Principal Contractor of the Company, or of an Affiliate of the Company, or of Buyer or an Affiliate of Buyer. For purposes of this Agreement, “Principal Contractor” means, with respect to a Person, a consultant, independent contractor or freelance worker whose services are material to the Business or who is engaged on a substantially full-time basis by the Company.
Business Personnel is defined in Section 3.10(b).
Business Personnel means all officers, directors, managers, employees, independent contractors and consultants of or to the Sellers or RWD Colombia employed or engaged in connection with the Business.
Business Personnel means those employees and independent contractors of Seller listed on Schedule 1.1(g).
Business Personnel has the meaning set forth in Section 4.11(a).
