Business Personnel definition

Business Personnel means, as of any date, any person (a) who is, or within the one (1)-year period prior to such date was, an employee of the Company or any subsidiary or affiliate thereof, or (b) who is, or within the one (1)-year period prior to such date was, a consultant or free-lance worker engaged in the Business for or on behalf of the Company or any subsidiary or affiliate thereof.
Business Personnel means any person (A) who is an employee or Principal Contractor of the Company, on the date of this Agreement and who remains, after Closing, employed or engaged by the Company or any Subsidiary, or an Affiliate thereof, or becomes employed or engaged by Buyer or an Affiliate of Buyer in connection with the transactions contemplated hereby for purposes of engaging in the Business, or (B) who is an employee or Principal Contractor of Buyer or an Affiliate of Buyer employed or engaged in the Business, or (C) who within one year prior to the prohibited contact by the Company was an employee or Principal Contractor of the Company or any of its Subsidiaries, or of an Affiliate of the Company or any of its Subsidiaries, or of Buyer or an Affiliate of Buyer.
Business Personnel means the employees of, and independent contractors providing services to, the Company.
