Business Net Working Capital definition

Business Net Working Capital means the current assets of the Business as of the Closing (excluding cash and cash equivalents and inventory, and including any Prepaid Expenses) less the current liabilities of the Business as of the Closing as calculated in accordance with GAAP as consistently applied in the preparation of the Financial Statements, consistent with Exhibit B attached hereto and the methodology set forth therein (which Exhibit reflects the Business Net Working Capital as of October 27, 2012).
Business Net Working Capital set forth in Section 1.1 of the Purchase Agreement is hereby deleted in its entirety and replaced as follows:
Business Net Working Capital means, for calendar year 2016, for each Business or an Acquisition or Divestiture, the sum of accounts receivable and inventory less accounts payable of the Business as of last day of the calendar year less the sum of accounts receivable and inventory less accounts payable as of last day of the prior calendar year. Accounts receivable, inventory and accounts payable shall be measured in a manner consistent with the method used to compute their values in the preparation of the Statement of Cash Flows in accordance with U.S. GAAP.
