B&T shall have received from ▇▇▇▇▇, ▇▇▇▇▇▇ & Company an unqualified written opinion (which opinion shall be completed and delivered to EuroBancshares and Eurobank within twenty-one (21) days following the date of this Agreement) to the effect that the Merger and the Merger Consideration to be paid to the shareholders of B&T under the terms of this Agreement is fair to the B&T Shareholders from a financial point of view.
The holders of the B&T Stock entitled to vote on the Merger and this Agreement shall have approved the Merger and this Agreement in accordance with Section 91 of the Banking Law and no B&T Shareholder or group of B&T Shareholders owning ten percent (10%) or more of the issued and outstanding shares of B&T Common Stock or B&T Series B Preferred Stock shall have exercised his or her dissenters' rights with respect to the Merger.
Subject to Section 1.11 of this Agreement, the cash portion of the Merger Consideration to be paid to the B&T Shareholders shall be delivered at Closing in immediately available funds.
EuroBancshares shall have designated a series of preferred stock with such rights and preferences as set forth on Exhibit F, which shares of preferred stock are intended to be issued to the B&T Shareholders owning shares Series B Preferred Stock in accordance with Section 1.05C.
B&T has no knowledge of any plan or intention on the part of any B&T Shareholders to make written demand for payment of the fair value of their shares of the B&T Stock in the manner provided by applicable law.
