  • B&T shall have received from ▇▇▇▇▇, ▇▇▇▇▇▇ & Company an unqualified written opinion (which opinion shall be completed and delivered to EuroBancshares and Eurobank within twenty-one (21) days following the date of this Agreement) to the effect that the Merger and the Merger Consideration to be paid to the shareholders of B&T under the terms of this Agreement is fair to the B&T Shareholders from a financial point of view.

  • The holders of the B&T Stock entitled to vote on the Merger and this Agreement shall have approved the Merger and this Agreement in accordance with Section 91 of the Banking Law and no B&T Shareholder or group of B&T Shareholders owning ten percent (10%) or more of the issued and outstanding shares of B&T Common Stock or B&T Series B Preferred Stock shall have exercised his or her dissenters' rights with respect to the Merger.

  • Subject to Section 1.11 of this Agreement, the cash portion of the Merger Consideration to be paid to the B&T Shareholders shall be delivered at Closing in immediately available funds.

  • EuroBancshares shall have designated a series of preferred stock with such rights and preferences as set forth on Exhibit F, which shares of preferred stock are intended to be issued to the B&T Shareholders owning shares Series B Preferred Stock in accordance with Section 1.05C.

  • B&T has no knowledge of any plan or intention on the part of any B&T Shareholders to make written demand for payment of the fair value of their shares of the B&T Stock in the manner provided by applicable law.
