BSNA acknowledges that it will receive substantial direct and indirect benefits from the transactions contemplated by the Agreement and that the waivers set forth in this guarantee are knowingly made in contemplation of such benefits.
BSNA hereby acknowledges and agrees that it shall cause the Seller to comply with all of the Seller’s obligations under this Agreement (“Guaranteed Obligations”), and in the event the Seller fails to comply with any such obligations, it shall intervene to perform, or cause to be performed, such obligations in accordance with the terms of this Agreement.

To the fullest extent permitted by Law, BSNA hereby expressly waives any and all rights or defenses arising by reason of any Law which would otherwise require any election of remedies by any of the Purchaser Related Parties.
From and after the Closing Date, except as permitted in this Section 6.5, neither the Purchaser, the Company nor any of their Affiliates will have any rights to use the BSNA Business Marks without the prior written consent of the Seller.
