Broadband Business means (a) the businesses and operations engaged in prior to the Time of Distribution by the members of the Pre-Distribution Group (but with respect to each such member who has ceased to be an Affiliate of Conexant or its predecessors, only businesses engaged in prior to the time that such member of the Pre-Distribution Group ceased to be an Affiliate of Conexant or its predecessors) of researching, developing, designing, engineering, manufacturing, having manufactured, assembling, having assembled, selling, distributing, installing, modifying, repairing, servicing and supporting semiconductor products and systems for communications electronics markets such as personal computers, personal imaging devices, network access products, digital information and entertainment products, and activities related thereto, (b) Former Businesses set forth on Schedule 1.01(a), (c) other Former Business related primarily to any of the foregoing, and (d) activities related primarily to the foregoing, other than, in the case of each of the foregoing clauses (a), (b), (c) and (d), any businesses, operations or activities included in the Mindspeed Business.
Broadband Business consists of General Instrument's activities with respect to (i) the design, development, manufacture, sale and installation of electronic equipment and systems, subscriber terminals and distribution electronics for community antenna television ("CATV") systems (other than wire and cable), (ii) the design, development, manufacture and sale of encryption/decryption equipment and software for the scrambling and descrambling of satellite-delivered television programming, (iii) the construction and management of construction of turnkey CATV systems and (iv) the provision, to CATV operators and franchise holders, of on-site signal analysis and system designs for antennas, headend and distribution equipment.
Broadband Business a business that owns, leases or operates, or proposes to own, lease or operate, a wireline broadband distribution service to deliver primarily video services.
