The Seller shall ensure that all use by the Seller or its Affiliates of the Transferred Marks pursuant to this Section 5.14(b) shall only be in connection with goods and services of a level of quality equal to or greater than the quality of goods and services with respect to which the Transferred Marks were used by the Seller prior to the Closing, and any such use shall not be in a manner that might damage or tarnish the reputation of the Buyer, the Business or the goodwill associated with the Transferred Marks. Any and all goodwill generated by the use of the Transferred Marks by the Seller or its Affiliates after the Closing pursuant to this Section 5.14(b) shall inure solely to the benefit of the Buyer.
