Borrowing Base Real Estate definition

Borrowing Base Real Estate means, singly and collectively, those Real Estate Projects, whether now existing or hereafter acquired, which are acceptable to Administrative Agent to constitute Borrowing Base Real Estate, as determined solely and exclusively the Administrative Agent; but including all Real Estate Projects owned by the Borrower and its Subsidiaries as of the date of this Agreement, in each case, as described in Borrower’s Prospectus, provided that any Real Estate Project owned directly or indirectly by a Subsidiary as to which a Cross-Default Event (regardless of the whether the amount at issue is in excess of the Threshold Amount) has occurred and is continuing shall not be considered Borrowing Base Real Estate.
Borrowing Base Real Estate means the owned Real Estate of the Borrowers set forth on Schedule 10.1(d) of the Disclosure Letter as of the Closing Date, and thereafter, any Real Estate owned by the Borrowers which is designated by the Borrowers as Borrowing Base Real Estate and, in each case, except as otherwise agreed by the Term Agent and the Required Lenders, satisfies all of the following conditions:

Examples of Borrowing Base Real Estate in a sentence

  • At all times, the ratio (“AD/AV Ratio”) obtained by dividing: (i) the Aggregate Debt, by (ii) the Aggregate Value of the Borrowing Base Real Estate, expressed as a percentage, shall not be greater than eighty percent (80%).

Related to Borrowing Base Real Estate

  • Borrowing Base Properties means the Oil and Gas Properties of the Loan Parties included in the Initial Reserve Report and thereafter in the most recently delivered Reserve Report delivered pursuant to Section 8.12.

  • Borrowing Base Property means any one of the Borrowing Base Properties.

  • Borrowing Base Assets means a collective reference to all Borrowing Base Assets in existence at any given time.

  • Borrowing Base Value means, with respect to any Oil and Gas Property of a Credit Party or any Swap Agreement in respect of commodities, the value the Administrative Agent attributed to such asset in connection with the most recent determination of the Borrowing Base as confirmed by Required Lenders.

  • Borrowing Base Amount means, as of any date, an amount equal to the sum of:

  • Borrowing Base Report means a Borrowing Base Report for the Borrower signed by an Authorized Signatory of the Borrower and in substantially the form of Exhibit D attached hereto.

  • Borrowing Base Test means as of any date, a determination that (a) the lesser of (i) the Borrowing Base and (ii) the Facility Amount shall be equal to or greater than (b) the Advances Outstanding.

  • New Borrowing Base Notice has the meaning assigned such term in Section 2.07(d).

  • Borrowing Base Availability means, at the time of any determination, an amount equal to the lesser of the Borrowing Base at such time and the aggregate amount of the Commitments at such time.

  • Domestic Borrowing Base means, at any time of calculation, an amount equal to:

  • Real Estate Asset means, at any time of determination, any interest (fee, leasehold or otherwise) then owned by any Credit Party in any real property.

  • Real Estate Assets means any investment by the Company or the Operating Partnership in unimproved and improved Real Property (including fee or leasehold interests, options and leases), directly, through one or more subsidiaries or through a Joint Venture.

  • Undepreciated Real Estate Assets as of any date means the cost (original cost plus capital improvements) of real estate assets of the Company and its Subsidiaries on such date, before depreciation and amortization determined on a consolidated basis in accordance with GAAP.

  • Aggregate Borrowing Base means as of any date of determination, an amount equal to (i) the sum of the SMP Borrowing Base and the SI Borrowing Base; less (ii) any Reserves except to the extent already deducted therefrom.

  • Eligible Real Estate means Real Estate:

  • Proposed Borrowing Base has the meaning assigned to such term in Section 2.07(c)(i).

  • Proposed Borrowing Base Notice has the meaning assigned to such term in Section 2.07(c)(ii).

  • Unencumbered Properties means each Acceptable Property that either (a) is an Initial Unencumbered Property or (b) becomes an Unencumbered Property pursuant to Section 4.03, and “Unencumbered Property” means any one of the Unencumbered Properties.

  • U.S. Borrowing Base means, as of any date of determination, the result of:

  • Leased Real Estate means all real property that the Company or any of its Subsidiaries leases, subleases or otherwise uses or occupies, or has the right to use or occupy, pursuant to a Lease.

  • Adjusted Borrowing Base means the Borrowing Base minus the aggregate amount of Cash and Cash Equivalents included in the Borrowing Base.

  • Material Real Estate Asset means (i) any fee-owned Real Estate Asset having a fair market value in excess of $2,500,000 as of the date of the acquisition thereof or (ii) any Real Estate Asset that the Required Lenders have determined is material to the business, general affairs, assets, liabilities, operations, management, condition (financial or otherwise), stockholders’ equity, results of operations or value of any Loan Party or any Subsidiary thereof, including the Borrower.

  • Foreign Borrowing Base means, as of any date, an amount equal to:

  • Real Estate means all Leases and all land, together with the buildings, structures, parking areas, and other improvements thereon, now or hereafter owned by any Loan Party, including all easements, rights-of-way, and similar rights relating thereto and all leases, tenancies, and occupancies thereof.

  • Hotel Property means a Property on which there is located an operating hotel.
