Bona Fide Property Purchaser definition
Bona Fide Property Purchaser other than a Member or an Affiliate of a Member, then the Initiating Member shall give written notice thereof (the “Buyout Offer Notice”) to each Member, which Buyout Offer Notice shall set forth the identity of the Bona Fide Property Purchaser and the cash price at which Bona Fide Property Purchaser has offered to purchase the Project (the “Buyout Offer Terms”) free and clear of all liens, pledges, security interests and other encumbrances (other than liens incurred for the Company’s benefit).
Bona Fide Property Purchaser shall have the meaning set forth in Section 9.2(a) of this Agreement.
