(“Academy”) (collectively, in such capacity, the “Underwriters”) pursuant to an underwriting agreement, dated as of November 18, 2022 (the “Underwriting Agreement”), among the Purchaser, Barclays Capital Holdings Inc. (“BCHI”) and the Underwriters.
