Blocker Corp BHC Restructuring Transactions definition

Blocker Corp BHC Restructuring Transactions means all restructuring transactions undertaken by the Blocker Corps in connection with the Federal Reserve Board order dated December 24, 2008 whereby the Blocker Corps had to separate Cerberus-related investors from other co-investors as of a date permitted by the Federal Reserve Board (including the elimination, liquidation or partial liquidation of any such Blocker Corps and the creation of any new Blocker Corps).

  • The aggregate amount that would be distributable to the BHC Blocker Corp or any of the other Blocker Corps formed in the Blocker Corp BHC Restructuring Transactions for 2009 as so determined shall be allocated between such Blocker Corp and the Transferor of Common Membership Interests to such Blocker Corp in a manner reasonably determined by the Company that reflects the portion of the taxable year that each such Member was a Member of the Company in 2009.
