BioNTech Technology definition

BioNTech Technology means the BioNTech Know-How and the BioNTech Patents.
BioNTech Technology means the BioNTech Patent Rights, BioNTech Materials, BioNTech Know-How. For avoidance of doubt, BioNTech Technology includes all Intellectual Property Rights Controlled by BioNTech pursuant to the Fosun Agreement.
BioNTech Technology means (i) the Biontech Background Technology, (ii) the Biontech Collaboration Technology and (iii) Biontech’s interest in the Joint Collaboration Technology, but excluding for the avoidance of doubt the Biontech Foreground Technology.   • Subject to the terms and conditions of this Agreement, effective as of the Effective Date, BioNTech on behalf of itself and its Affiliates hereby grants (and will procure that its Affiliates grant) to Pfizer a sole license under the BioNTech Technology to use, have used, Develop, have Developed, Manufacture, and have Manufactured [***] Candidates and Products within the Territory [***].

  • Each of the Parties will promptly notify the other in the event that any Third Party files any suit or brings any other action alleging patent infringement by Pfizer or BioNTech or any of their respective Affiliates or Sublicensees with respect to the Development, Manufacture, Commercialization or use of any Candidate or Product or the practice of any BioNTech Technology or Research and Development Program Technology (any such suit or other action referred to herein as an “Infringement Claim”).

  • BioNTech hereby covenants not to practice, and not to permit or cause any of its Affiliate or any Third Party to practice, any Genevant Technology for any purpose other than as expressly authorized in this Agreement, and Genevant hereby covenants not to practice, and not to permit or cause any of its Affiliate or any Third Party to practice, any BioNTech Technology for any purpose other than as expressly authorized in this Agreement.

  • In addition, BioNTech retains, and hereby expressly reserves, the exclusive right to practice, and to grant licenses under, the BioNTech Technology (a) for any and all purposes outside the Co-Development Field and (b) in the Co-Development Field with any product that is not a Co-Development Product, subject to the limitations of Section 2.6 (Exclusivity).

  • Each Party will be solely responsible for all obligations (including royalty and payment obligations) that relate to Candidates, Products, BioNTech Technology or Pfizer Technology under its or its Affiliates’ own agreements with Third Parties that are in effect on or prior to the Effective Date, including the Current Licenses for which BioNTech has sole responsibility.

  • Without prejudice to Section 2.10.2, the foregoing license shall not prevent BioNTech and its Affiliates from conducting internal research directed outside the Field where flu antigens or BioNTech Technology are used solely as comparators in such research.

BioNTech Technology means any Patents or Know-How (a) conceived, discovered, developed, reduced to practice, or otherwise made by or on behalf of BioNTech, its Affiliates and Sublicensees under this Agreement, or (b) to the extent not otherwise covered in subsection (a), Controlled by BioNTech, its Affiliates or Sublicensees as of the Effective Date or during the Term, and is necessary or reasonably useful for OncoC4 to perform its obligations under the CDP; provided, that [***].

Related to BioNTech Technology

  • Technology means any and all technical information and/or materials, including, without limitation, ideas, techniques, designs, sketches, drawings, models, inventions, know-how, processes, apparatus, methods, equipment, algorithms, software programs, data, software source documents, other works of authorship, formulae and information concerning engineering, research, experimental work, development, design details and specifications.

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.
