As of the date hereof, none of Bidco, Topco nor each Investor has any reason to believe that it will be unable to satisfy on a timely basis any term or condition of Completion to be satisfied by Bidco, Topco or such Investor, as applicable, contained in the Equity Commitment Letters or the Debt Commitment Letter to the extent such terms or conditions are within the control of Bidco, Topco or such Investor, as applicable.
This letter agreement constitutes the sole agreement, and supersedes all prior agreements, understandings and statements, written or oral, between the Sponsor or any of its affiliates, on the one hand, and Bidco, Topco and/or Holdco, on the other, with respect to the transactions contemplated hereby.
Eligible LTG Shareholders who wish to make an election for an Alternative Offer will be required, as a condition to their election being treated as valid and to Rollover Securities being issued to them, to provide certain preliminary “know your customer” information to Topco’s Corporate Services Provider (being such information required in order to comply with applicable anti-money laundering, sanctions or “know your customer” laws) or as otherwise reasonably required by Bidco, Topco or General Atlantic.
