  • A true and correct copy of the engagement agreement with Stifxx, Xxxxxxxx & Xompany, Incorporated, setting forth the fee payable to Stifxx, Xxxxxxxx & Xompany, Incorporated for its services rendered to BHB in connection with the Merger and transactions contemplated by this Agreement is attached to BHB Disclosure Schedule 5.13.

  • No supplement or amendment to such BHB Disclosure Schedule shall have any effect for the purpose of determining satisfaction of the conditions set forth in Article IX.

  • Bar Harbor Bank is a member in good standing of the FHLB and owns the requisite amount of stock in the FHLB as set forth on BHB Disclosure Schedule 4.02.
