It is agreed by the parties that this covenant on the part of the Restricted Party may be enforced against the Restricted Party (a party engaged in the breach being the “Breaching Party”), by injunction, without requirement imposed by the Court for posting bond which the Restricted Party hereby specifically and knowingly waives, as well as by all other legal remedies available to the Benefited Party.
This Agreement may not be amended or modified in any respect other than by the written agreement of all of the parties hereto and, with respect to SECTION 3.1, the consent of each Benefited Party affected thereby.
Pursuant to section 409.401(b)(5) of the Act, and only for the purposes of effecting transaction under this rule, agent does not include those officers, directors, general part- ners or other bona fide employees of the issuer whose primary employment function is other than the sale of securities.
This Agreement is not intended and shall not be construed to create any rights in or to be enforceable in any part by any other Person, except that each Benefited Party is a third party beneficiary of SECTION 3.1.
CSI agrees that each Benefited Party may heretofore, now or at any time hereafter do any or all of the foregoing in such manner, upon such terms and at such times as each Benefited Party, in its sole and absolute discretion, deems advisable, without in any way or respect impairing, affecting, reducing or releasing CSI from its Guarantor’s Obligations, and CSI hereby consents to each and all of the foregoing events or occurrences.
