BCF Business definition

BCF Business means the business of developing and commercializing blockchain-based business solutions and providing consulting services to corporate clients seeking to incorporate blockchain technology in their businesses, conducted by BCF as of the date hereof, and to be more particularly described in the Listing Statement;

Examples of BCF Business in a sentence

  • BCF will afford Tiller and its authorized representatives every reasonable opportunity to have access during normal business hours to the BCF Business and the property, assets, undertaking, records and documents of BCF.

  • The Assets include all assets, rights, Authorizations and property necessary to conduct the BCF Business immediately after the Business Combination in the same manner it is currently conducted, except as would not reasonably be expected to have a BCF Material Adverse Effect.

  • At the request of Tiller, BCF will execute or cause to be executed such consents, authorizations and directions as may be necessary to permit any inspection of the BCF Business and any property of BCF or to enable Tiller or its authorized representatives to obtain full access to all files and records relating to BCF and any of the assets of BCF maintained by Governmental Authorities.

  • BCF has all Authorizations necessary to conduct the BCF Business as presently conducted or for the ownership and use of the Assets in compliance with applicable Laws, except for any Authorizations the lack of which would not reasonably be expected to have a BCF Material Adverse Effect.

  • Since September 30, 2017, there has not been any material adverse change in the BCF Business and the results of operations, financial condition, assets, properties, capital, liabilities (contingent or otherwise), cash flow or business operations of BCF.

  • BCF has not (nor has it ever had) any insurance of any nature whatsoever relating to it, the Assets, the BCF Business, or its directors or officers.

  • BCF will forthwith make available to Tiller and its authorized representatives and, if requested by Tiller, provide a copy to Tiller of, all title documents, Contracts, financial statements, Constating Documents, minute books, share registers, plans, reports, licences, orders, permits, books of account, accounting records and all other documents, information or data relating to BCF and the BCF Business.

  • Subject to the satisfaction or waiver of all of the conditions set forth in Article 7, the completion of the transaction of purchase and sale contemplated by this Agreement will take place at the offices of BCF Business Law located at ▇▇▇▇ ▇▇▇▇.

  • Since September 30, 2017, except for the transactions contemplated by this Agreement, the BCF Business has been carried on in the BCF Ordinary Course.
