  • In Each of the BBY Parties covenant and undertake to CPW that, subject to clause 6.2, none of the BBY Shareholders will at any time during the Lock-in Period make any Disposal of, or agree to Dispose, directly or indirectly of the legal and/or beneficial interest in, any of the Consideration Shares.
