Baxter Products definition

Baxter Products means those products manufactured by Baxter or its Subsidiaries (as they would exist immediately following the Spin-Off Date) (except for products manufactured for Allegiance or its Subsidiaries by Baxter or its Subsidiaries pursuant to the Manufacturing Contracts but including those products manufactured for Baxter and its Subsidiaries by Allegiance or its Subsidiaries pursuant to the Manufacturing Contracts).

Baxter Products means Products that are manufactured by Baxter or any of its Affiliates and sold to VWR for resale by VWR to Industrial Customers pursuant to the VWR Distribution Agreement entered into by the parties on the date hereof. The inventories of the Baxter Products shall remain the property of Baxter until such time as a Baxter Product is used to fulfill an order from an Industrial Customer pursuant to this Agreement. Baxter shall retain title in such Baxter Product until the time of shipment from Xxxxxx'x shipping point (or the manufacturer's shipping point in the case of a drop shipment) to the Industrial Customer, at which time such Baxter Product shall be sold by Baxter to VWR; and
