Section 6 (Trade Secrets, Confidential Information, Bank Property and Competitive Business Activities) of this Agreement shall survive the termination of Employee’s employment and/or the termination of this Agreement, regardless of the reasons for such termination.
Executive acknowledges, therefore, that it is in the Bank’s legitimate business interest to restrict Executive’s disclosure or use of such Confidential Information (and other Bank Property) for any purpose other than the services provided by Executive to the Bank and to limit the possibility of any potential appropriation of such Confidential Information (and other Bank Property) by Executive for his own benefit or the benefit of the Bank’s competitors and to the detriment of the Bank.
Such Bank Property shall be returned in the same condition as when provided to Employee, reasonable wear and tear excepted.
Executive acknowledges and agrees that the Bank Property is, and shall, remain at all times the exclusive property of the Bank Group.
Employee acknowledges that his failure to abide by the Trade Secrets and Confidential Information, Bank Property or Competitive Business Activities provisions of this Agreement would cause irreparable harm to the Bank for which legal remedies would be inadequate.
