Bank Approvals means that the Office of the Comptroller of the Currency has determined not to disapprove or has not disapproved, within the relevant review period under the Change in Bank Control Act, the acquisition of control of Talbots Classic National Bank, a FDIC-insured credit card bank chartered and supervised by the Office of the Comptroller of the Currency, by Parent and its Affiliates, as applicable, as a result of the Merger or the Offer (as applicable), and the other approvals and filings (if any) set forth on Section 10.01(q) of the Company Disclosure Letter.
