BancTec Change in Control means an announcement by BancTec (or any of its Affiliates) that (i) another person, entity or “group” (as such term is used in Section 13(d) of the Securities Exchange Act of 1934, as amended) will acquire Control, of BancTec (or any parent company of BancTec, or of any Affiliate of BancTec involved in performance of the Services), whether directly or indirectly, in a single transaction or series *** Certain information on this page has been omitted and filed separately with the Commission. Confidential treatment has been requested with respect to the omitted portions. of related transactions, or (ii) BancTec (or any parent company of BancTec, or any Affiliate of BancTec involved in performance of the Services) will consolidate with, or merge with or into, another person or entity, or will sell, assign, convey, transfer, lease or otherwise dispose of all or substantially all of its assets to another person(s) or entity(ies). Notwithstanding the foregoing, “BancTec Change in Control” shall exclude an initial public offering of stock in BancTec, but only for a period of time that is six (6) months after the date that any such stock is first made available to the public or publicly traded.

If and only if the other person or entity involved in the BancTec Change in Control is not a DFS Competitor, then upon the effective date of any termination pursuant to this Section 11.3(d), DFS will be charged *** of the termination for convenience fee set forth in Exhibit C6 (Termination for Convenience Fees) of Schedule C (Compensation) that would have been applicable had such termination been a termination for convenience pursuant to Section 11.3(b).
If a BancTec Change in Control occurs, then at any time within ninety (90) calendar days after the date the same, DFS may terminate this Agreement (or the corresponding Services being performed by the BancTec Affiliate that is subject to such BancTec Change in Control), by giving BancTec at least three months prior written notice specifying the terminated Services and designating the termination date.
