Baja International means Baja International S.ar.l., a societe responsabilite limitee, incorporated under the laws of Luxembourg, having its registered office at 121, avenue de la Faiencerie, L-1511 Luxembourg, registered with the Luxembourg trade and companies register under number B153948 and having a share capital on the date of this Agreement of U.S.$71,716,013;

The Company's significant subsidiaries are Baja International, S.a r.l. ("Baja Luxembourg") and its wholly owned subsidiary Boleo International, S.a r.l. ("Boleo Luxembourg").
As at December 31, 2012, the Company owned a 49% interest in the Project through its wholly owned Luxembourg subsidiary, Baja International S.a r.l., which owns 100% of a Luxembourg subsidiary, Boleo International S.a r.l., which in turn owned 49% of the shares of MMB.
