Back-up Termination Date definition

Back-up Termination Date means the first to occur of (a) sixty (60) days after the entry of the order of the Bankruptcy Court approving an Alternative Transaction with a Successful Bidder other than Buyer or (b) consummation of an Alternative Transaction with the Successful Bidder (other than Buyer) at the Auction.

More Definitions of Back-up Termination Date

Back-up Termination Date means the earliest to occur of (a) if Purchaser is not the Successful Bidder, the date of consummation of the Transaction (as defined in the Bid Procedures) with the Successful Bidder at the Auction, (b) Purchaser’s receipt of notice from each Seller of the release of Purchaser’s obligations under Section 7.02(a) and (c) the End Date.
Back-up Termination Date means the first to occur of (a) consummation of the transaction with the winning bidder at the Auction, (b) Buyer’s receipt of notice from Seller of the release by Seller of Buyer’s obligations under Section 5.4(d), and (c) forty-five (45) days after the conclusion of the Auction. “Bankruptcy Cases” means the contemplated Chapter 11 cases of Sellers and certain of their Affiliates. “Bankruptcy Code” has the meaning set forth in the recitals. “Bankruptcy Court” has the meaning set forth in the recitals. “Bidding Procedures Order” means the order of the Bankruptcy Court, entered into in the Bankruptcy Cases on February 21, 2020 as Document Number 202. “Xxxx of Sale” has the meaning set forth in Section 2.5(a)(i). “Bonding Requirements” means standby letters of credit, guarantees, indemnity bonds and other financial commitment credit support instruments issued by third parties on behalf of Sellers or any of their respective Subsidiaries or Affiliates regarding any of the Acquired Assets. 4
Back-up Termination Date means the earliest to occur of (a) February 15, 2021, (b) the consummation of an Alternative Transaction, (c) the date on which the conditions to Closing set forth in Section 7.1(a) and Section 7.1(b) have been satisfied or waived and (d) Buyer’s receipt of notice from Seller Parent of the release by Sellers of Buyer’s obligations under Section 5.3(c).
Back-up Termination Date means the first to occur of (i) the later of: (A) sixty (60) days after the entry of an order approving a Competing Bid (it being agreed and understood that with respect to any credit bids only a sale of all of the Sellable Aircraft WAC Groups pursuant to Section 6.11 shall constitute a Competing Bid for purposes hereof), (B) one hundred twenty (120) days after the completion of the Auction, if any, (C) the Outside Date, (D) consummation of the transaction with: (1) the winning bidder at the Auction; or (2) the Person(s) with whom the Seller Parties enter into a definitive agreement with respect to a Competing Bid (it being agreed and understood that with respect to any credit bids only a sale of all of the Sellable Aircraft WAC Groups pursuant to Section 6.11 shall constitute a Competing Bid for purposes hereof) and as a result of which this Agreement is terminated pursuant to Section 11.01(f) or Section 11.01(h) or (ii) Buyer’s receipt of notice from the Seller Parties of the release by the Seller Parties of Buyer’s obligations under Section 8.04.
Back-up Termination Date means the date that is one (1) Business Day after the closing of the Plan Transaction (as such term is defined in the Bidding Procedures Order) with the Winning Bidder.
