B-1 Stock definition

B-1 Stock has the meaning set forth in Section 2.03(d);
B-1 Stock means the series B-1 preferred stock of Plus Delaware or Plus Nevada (upon completion of the Plus Merger), as applicable.“B-2 Stock”means the series B-2 preferred stock of Plus Delaware or Plus Nevada (upon completion of the Plus Merger), as applicable.“B-1 Warrants”means share purchase warrants exercisable to purchase B-1 Stock of Plus Nevada, which have been assumed and will be honoured by the Company pursuant to the Securities Exchange Agreement and are exercisable to purchase Common Shares of the Company.“B-2 Warrants”means share purchase warrants exercisable to purchase B-2 Stock of Plus Nevada, which have been assumed and will be honoured by the Company pursuant to the Securities Exchange Agreement and are exercisable to purchase Class A Common Shares of the Company.“BCBCA”means the Business Corporations Act (British Columbia).“Board” or “Board of Directors”means the board of directors, or comparable corporate governing structure, of the Company.“Carberry”means Carberry, LLC, a limited liability company formed pursuant to the laws of the State of California.“CBD”means cannabidiol, a naturally occurring cannabinoid constituent of cannabis.“CEO”means Chief Executive Officer.“CFO”means Chief Financial Officer.“Class A Common Shares”means the Class A common shares in the capital of the Company.“Class B Preferred Shares”means the Class B preferred shares in the capital of the Company, which includes the following series of Class B Preferred Shares: Series Seed Preferred Shares, Series Seed-1 Preferred Shares, Series A Preferred Shares, Series B-1 Preferred Shares and Series B-3 Preferred Shares.“Class C Preferred Shares”means the Class C preferred shares in the capital of the Company, which includes the following series of Class C Preferred Shares: Series B-2 Preferred Shares and Series B-3A Preferred Shares.“Common Shares”means the common shares in the capital of the Company.“Common Stock”means the common stock of Plus Delaware or Plus Nevada (upon completion of the Plus Merger), as applicable.“company”means, unless specifically indicated otherwise, a corporation, incorporated association or organization, body corporate, partnership, trust, association or other entity other than an individual.“Company” or “Plus Products”means Plus Products Inc., a corporation existing under the BCBCA.

  • Class A Preferred Stock means the Company's Class A Convertible Preferred Stock, par value $.01 per share.

  • Junior Preferred Stock means ML & Co.'s Series A Junior Preferred Stock, par value $1.00 per share.

  • Series A Preferred Stock means shares of the Company’s Series A Preferred Stock, par value $0.0001 per share.

  • Series C Preferred Shares means the Company’s series C preferred shares, par value US$0.00001 per share.

  • Series E Preferred Stock means shares of the Company’s Series E Preferred Stock, par value $0.0001 per share.

  • New Preferred Stock means the Series B-1 Preferred Stock and the Series B-2 Preferred Stock.

  • Series A Preferred Shares means the Series A Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.
