Average Parent Share Price definition

Average Parent Share Price means the volume weighted average price per Parent Common Share on the NYSE (as reported by Bloomberg L.P. or, if not reported thereby, by another authoritative source mutually agreed by the Company and Parent) for the five (5) consecutive trading days immediately preceding the second trading day before the Closing Date. For all purposes of this Agreement, the Average Parent Share Price shall be calculated to the nearest one-hundredth of one cent.
Average Parent Share Price means the average (without rounding) of the closing prices per share of Parent Class A Common Stock on the NYSE on the NYSE Composite Tape for the fifteen (15) consecutive NYSE trading days ending on the NYSE trading day immediately preceding the Closing Date.
Average Parent Share Price means the average of the closing price per share of Parent Common Stock on the Nasdaq National Market System, and if the Parent Common Stock is not listed on such System, the average of the last reported sale price per share of Parent Common Stock on the Nasdaq Small Cap Market (in either case as reported in the Wall Street Journal) for the twenty (20) consecutive trading days ending on the trading day which is two (2) Business Days prior to the Effective Time.

Average Parent Share Price means the volume weighted average trading price per share (calculated to the nearest one-hundredth of one cent) of Parent Common Shares as reported on NASDAQ, for the consecutive period of fifteen (15) trading days beginning on the sixteenth trading day immediately preceding the Closing Date and concluding at the close of trading on the last trading day immediately preceding the Closing Date.
Average Parent Share Price means the average of the last sales prices per share of Parent Common Stock on the Nasdaq National Market composite tape for the ten consecutive trading days ending on the third trading day that is immediately preceding the Closing Date.
Average Parent Share Price means the average of the daily volume-weighted sales prices per share of Parent Common Stock on the New York Stock Exchange, Inc. for each of the 10 consecutive trading days ending on the trading day which is five calendar days prior to the Closing Date, or, if such ending date does not fall on a trading day, then the trading day immediately preceding the fifth calendar day prior to the Closing Date (the "VALUATION PERIOD").
