Avaya Deutschland has the meaning specified in the introductory paragraph to this Agreement. “Avaya Deutschland Borrowing Base” means, on any date, an amount equal to (y) 85% multiplied by the book value of Avaya Deutschland’s Eligible Accounts minus (z) any Reserves. “Avaya Deutschland Line Cap” means, at any time, the lesser of (y) the Avaya Deutschland Borrowing Base at such time and (z) the aggregate Revolving Credit Commitments at such time. “Avaya KG” has the meaning specified in the introductory paragraph to this Agreement. “Avaya KG Borrowing Base” means, on any date, an amount equal to (y) 85% multiplied by the book value of Avaya Deutschland’s Eligible Accounts minus (z) any Reserves. “Avaya KG Line Cap” means, at any time, the lesser of (y) the Avaya KG Borrowing Base at such time and (z) the aggregate Revolving Credit Commitments at such time. “Average Historical Excess Availability” means, at any Adjustment Date, the average daily Excess Availability for the three calendar month period immediately preceding such Adjustment Date (with the Borrowing Base for any day used to determine “Excess Availability” calculated by reference to the most recent Monthly Borrowing Base Certificate delivered to the Administrative Agent on or prior to such day pursuant to Section 6.01(e)). “Bankruptcy Code” means title 11 of the United States Code entitled “Bankruptcy” as now or hereafter in effect, or any successor statute. “Base Rate” means for any day a fluctuating rate per annum equal to the highest of (a) the Federal Funds Rate plus 1/2 of 1%, (b) the rate of interest in effect for such day as publicly announced from time to time by the Administrative Agent as its “prime rate” and (c) the sum of 1.00% plus the Eurocurrency Rate for a thirty (30) day Interest Period as determined on
