The terms of this Agreement shall not be amended or changed by the website “click-wrap” terms, preprinted terms of any purchase confirmation, purchase order, order form, quotation, invoice, or similar document or acknowledgment even though Avature or Customer may have accepted or signed such documents.
Customer acknowledges and agrees that Avature does not review Customer Data stored or transmitted through the Application Service, and that Avature shall not be responsible for the legality of any such data or transmissions.
If Customer is legally entitled to an exemption from any sales, use, or similar transaction tax, Customer is responsible for providing Avature with legally-sufficient tax exemption certificates for each taxing jurisdiction.
Avature shall have no obligation to maintain any Customer Data after forty-five (45) days from the Data Availability Date and may then, unless legally prohibited, delete all Customer Data from Avature’s systems or otherwise in Avature possession or under Avature’s control, subject to backup provisions in the Service Level Agreement.
In Witness Whereof, Customer and Avature have caused this Master Services Agreement to be signed as of the Effective Date by their duly authorised representatives.
In consideration of the payment by Customer to Avature of the Fees, Avature grants to Customer a limited use, world-wide, non-exclusive, non-transferable (subject to the provisions in Clause 17.6 (Assignment/Successors), royalty-free right to use (a) the Application Service; and (b) the Documentation, each in accordance with the terms and conditions of this Agreement and each fully executed Order and the scope of use set out therein.
Customer and its auditors will comply with all reasonable security and confidentiality requirements of Avature when accessing facilities or other resources owned or controlled by Avature including reasonable restrictions to enable Avature to maintain its confidentiality commitments with its other customers.
Customer shall provide accurate, current and complete information on Customer’s billing address and billing contacts, including email address and phone number, and will promptly notify Avature if this information changes.
Avature shall Process the Personal Data solely for the purpose of providing the Services to Controller unless otherwise required by laws to which Avature is subject.
Solely for the purposes of providing the Services in accordance with this Agreement, Customer grants to Avature a limited, non-exclusive, non-transferable, fully paid up right to (a) Process Customer Data; and (b) display Customer’s name, logo, trademark, trade name, service mark or brand imagery on the Application Service (including Portal features).
